This Privacy Policy constitutes a legally binding agreement between you and IGAP LLC Fz. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IGAP LLC Fz, ITS SHAREHOLDERS, PARTNERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, LICENSORS, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "COMPANY PARTIES") BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:
- The use of or inability to use our Platform or services
- Any unauthorized access to or use of our servers and/or any Personal Information stored therein
- Any interruption or cessation of transmission to or from our services
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services
- Any errors, inaccuracies, or omissions in any content
- Any conduct or content of any third party on our services

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
14.2 AGGREGATE LIABILITY CAP
TO THE EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE COMPANY PARTIES TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THIS PRIVACY POLICY OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:
- (A) THE TOTAL AMOUNTS PAID BY YOU TO IGAP LLC Fz DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR
- (B) ONE HUNDRED UNITED ARAB EMIRATES DIRHAMS (AED 100).
14.3 INDEMNIFICATION BY USER
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE COMPANY PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, LIABILITIES, LOSSES, DAMAGES, JUDGMENTS, SETTLEMENTS, COSTS, AND EXPENSES (INCLUDING WITHOUT LIMITATION REASONABLE ATTORNEYS' FEES, COURT COSTS, INVESTIGATION COSTS, EXPERT WITNESS FEES, AND LITIGATION EXPENSES) ARISING OUT OF OR IN ANY WAY CONNECTED WITH:
- 14.3.1 Your Use: Your use of or inability to use the Platform, including any content, products, or services obtained through the Platform.
- 14.3.2 Violation of Terms: Your violation of this Privacy Policy, Terms and Conditions, or any applicable laws, regulations, or third-party rights.
- 14.3.3 User Content: Any content or information you submit, post, transmit, or make available through the Platform.
- 14.3.4 Violation of Rights: Your violation of any rights of another person or entity, including privacy rights, intellectual property rights, publicity rights, or contractual rights.
- 14.3.5 Misrepresentation: Any misrepresentation, false information, or inaccurate data provided by you.
- 14.3.6 Fraudulent Activity: Any fraudulent, deceptive, misleading, or unlawful activity conducted by you.
- 14.3.7 Disputes with Others: Any disputes or interactions between you and other users, third-party vendors, delivery partners, advertisers, or other parties.
- 14.3.8 Data Breach: Any unauthorized access to or use of your account or information caused by your actions or omissions, including sharing login credentials, using weak passwords, or failing to secure your device.
- 14.3.9 Third-Party Services: Your use of or reliance on any third-party services, links, advertisements, or content accessed through the Platform.
- 14.3.10 Reviews and Feedback: Any reviews, ratings, comments, or feedback you post, including claims of defamation, libel, slander, invasion of privacy, or violation of publicity rights.
- 14.3.11 Breach of Security: Any breach of security resulting from your actions or omissions, including failure to log out, using public computers, or sharing devices.
- 14.3.12 Regulatory Compliance: Your failure to comply with any applicable laws, regulations, customs requirements, or tax obligations.
- 14.3.13 Consent and Authorizations: Your failure to obtain necessary consents or authorizations for information you provide about third parties.
- 14.3.14 Technical Issues: Any technical issues, errors, interruptions, downtime, or unavailability of the Platform caused by factors within your control.
14.4 SCOPE OF INDEMNIFICATION
The indemnification obligation includes, but is not limited to:
- All direct, indirect, incidental, consequential, special, punitive, or exemplary damages
- Loss of profits, revenue, data, goodwill, business opportunity, contracts, or anticipated savings
- Costs of investigation, litigation, arbitration, mediation, and settlement
- Attorneys' fees, legal expenses, court costs, and arbitration fees incurred in connection with any claim
- Expert witness fees, consultant fees, and litigation support costs
- Any amounts paid to settle any claim or satisfy any judgment, order, or decree
- Costs of defending against regulatory or governmental investigations, inquiries, or proceedings
- Fines, penalties, or sanctions imposed by any regulatory authority
14.5 INDEMNIFICATION PROCEDURE
The Company Parties reserve the right, at their own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to fully cooperate with the Company Parties in asserting any available defenses and in the defense, compromise, or settlement of any claim. You shall not settle any claim without the prior written consent of the Company Parties, which consent shall not be unreasonably withheld.
14.6 SURVIVAL OF INDEMNIFICATION
This indemnification obligation shall survive the termination of your account, the termination of this Privacy Policy, your discontinuation of use of the Platform, and any expiration of these terms. It applies to all activities that occurred during your use of the Platform and extends indefinitely thereafter for claims arising from such use. This indemnification is binding upon your heirs, successors, assigns, executors, administrators, and personal representatives.
14.7 NO LIABILITY FOR THIRD-PARTY CONDUCT
The Company Parties shall not be liable for any conduct, content, products, or services of any third parties, including other users, vendors, advertisers, delivery partners, payment processors, or linked websites. You acknowledge and agree that the Company Parties are not responsible for any damages or losses arising from third-party interactions, and you hereby irrevocably release the Company Parties from any and all claims related thereto.
14.8 FORCE MAJEURE
The Company Parties shall not be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, natural disasters, pandemics, epidemics, government actions, supply chain disruptions, internet outages, technical failures, power outages, or cyberattacks.
15. DISCLAIMER OF WARRANTIES
THE PLATFORM AND ALL CONTENT, PRODUCTS, AND SERVICES INCLUDED THEREIN ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, IGAP LLC FZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, AND FREEDOM FROM VIRUSES OR OTHER HARMFUL CODE.
IGAP LLC FZ DOES NOT WARRANT THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE; (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS; OR (E) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED.
16. GOVERNING LAW AND JURISDICTION
This Privacy Policy shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of laws principles. Any disputes arising under or in connection with this Policy shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
